RESET STUDIO TERMS & CONDITIONS

Effective Date: April 15th, 2026

These Terms and Conditions (“Terms”) govern the purchase and use of memberships, classes, appointments, treatments, packages, and other services offered by Reset Studio (“Reset Studio,” “Studio,” “we,” “us,” or “our”). By purchasing a membership, booking or attending a class, appointment, treatment, or other service, creating an account, or otherwise using the services provided by Reset Studio, you (“Member,” “Client,” “you,” or “your”) acknowledge that you have read, understood, and agreed to be bound by these Terms.

1. Memberships and Eligibility

Memberships at Reset Studio provide access to the services, classes, sessions, or other benefits specifically identified in the membership purchased. Membership benefits are personal to the individual named on the account and may not be transferred, resold, assigned, or shared with another individual unless expressly authorized by Reset Studio.

Memberships are subject to the specific terms, pricing, benefits, limitations, and conditions communicated to the Member at the time of purchase. Reset Studio reserves the right to establish different membership types, pricing structures, promotional offers, benefits, and eligibility requirements from time to time.

Memberships do not constitute a purchase of a fixed number of calendar months. Rather, memberships operate on recurring billing periods as described below.

2. Membership Term and Minimum Commitment

Unless otherwise expressly stated in writing by Reset Studio, all memberships are subject to a minimum commitment of three (3) months at the time of purchase.

The three-month minimum commitment begins on the membership start date and represents the minimum period for which the Member agrees to maintain the membership and remain responsible for the applicable membership fees.

The minimum commitment is a condition of the membership purchased and is not automatically waived because the Member does not use the membership, does not book available classes or services, changes their personal circumstances, or otherwise elects not to utilize the membership.

Where Reset Studio agrees to an early cancellation or other exception, such accommodation is granted at the Studio’s discretion and does not establish a precedent or create an ongoing right to receive the same accommodation in the future.

3. Recurring Billing and Renewal

Memberships are recurring subscriptions and automatically renew at the end of each applicable billing period unless cancelled in accordance with the Membership Cancellation Policy.

Depending on the membership selected and the billing schedule established at the time of purchase, membership fees are charged on a recurring 28-day or 30-day billing cycle. Members acknowledge that a 28-day billing cycle does not correspond to a calendar month and may therefore result in more than twelve membership payments being processed during a calendar year.

The applicable billing frequency, membership price, and payment terms will be disclosed to the Member at the time of purchase. By enrolling in a membership, the Member authorizes Reset Studio, and its designated payment processor, to charge the payment method associated with the account for all applicable membership fees, taxes, and other authorized charges as they become due.

Memberships will continue to renew automatically following the completion of the initial three-month minimum commitment unless the Member provides proper notice of cancellation in accordance with these Terms and the applicable Membership Cancellation Policy.

4. Membership Cancellation

After completion of the applicable three-month minimum commitment, Members may request cancellation of their membership by providing at least fourteen (14) days’ written notice prior to the applicable billing date.

Cancellation requests must be submitted through an approved method designated by Reset Studio. A verbal request made to a staff member, instructor, service provider, or other representative does not constitute formal cancellation notice unless the Studio expressly confirms the cancellation in writing.

If a Member submits cancellation notice less than fourteen (14) days before their next scheduled billing date, the next membership payment may be processed as scheduled. The membership will remain active through the applicable paid billing period, after which the membership will terminate.

The Member is responsible for ensuring that their cancellation request has been properly received and processed. Failure to use the membership, failure to attend classes, or failure to make bookings does not constitute cancellation.

The Reset Studio Membership Cancellation Policy forms part of these Terms and should be reviewed in conjunction with this document.

5. Membership Freezes

Reset Studio provides Members with the ability to place their membership on a temporary freeze at no charge, regardless of the reason for the requested freeze.

A standard membership may be frozen for a period of up to sixty (60) days in any applicable membership period, subject to the Studio’s administrative requirements. The Member is not required to provide a reason or supporting documentation in order to request an eligible freeze.

During an approved freeze period, recurring membership charges will be suspended. The membership will not accrue additional membership fees during the approved freeze period, and unused membership benefits are not required to be carried forward unless otherwise expressly agreed to by Reset Studio.

At the conclusion of the approved freeze period, the membership will automatically reactivate and regular recurring billing will resume. Unless otherwise agreed in writing, the membership will resume at the same membership price and under the same membership terms that applied immediately prior to the freeze.

A freeze does not constitute cancellation and does not eliminate or reset the Member’s minimum commitment. Any remaining portion of the original minimum commitment will continue following reactivation, subject to any adjustment required to account for the period during which the membership was frozen.

Freeze requests should be made before the requested freeze period begins. Reset Studio may establish reasonable administrative procedures for processing and confirming freezes.

6. Founding Memberships

Founding memberships, where offered, may be subject to benefits, pricing, restrictions, or terms that differ from standard memberships.

Unless otherwise expressly stated at the time of purchase, founding members remain subject to the same general membership terms regarding recurring billing, minimum commitment, cancellation notice, class attendance, and account management.

Where a specific founding membership agreement provides for a longer or otherwise different freeze entitlement, that specific agreement will govern. In the absence of a different written term, the standard no-charge freeze entitlement of up to sixty (60) days applies.

7. Classes, Appointments and Services

Memberships do not exempt Members from the cancellation, rescheduling, late-cancellation, or no-show policies applicable to individual classes, appointments, treatments, or services.

Each class, appointment, treatment, or other service may have its own cancellation window, late-cancellation fee, no-show fee, or session forfeiture policy. These terms may be displayed or communicated at the time of booking and are incorporated into these Terms by reference.

Members are responsible for reviewing and understanding the applicable cancellation terms before completing a booking. Please refer to the specific appointment or class cancellation rules provided at the time of booking, as those rules may differ depending on the service or class selected.

Cancellation of a membership does not automatically cancel future appointments or bookings. Members remain responsible for separately cancelling or modifying any bookings in accordance with the applicable booking policy.

8. Payments and Failed Transactions

Members are responsible for maintaining a valid payment method on their account and ensuring that sufficient funds or available credit are available when membership fees become due.

If a payment is declined, rejected, reversed, disputed, or otherwise unsuccessful, Reset Studio may suspend access to membership benefits until the outstanding balance has been resolved. The Studio may also attempt to process the payment again using the payment method authorized on the Member’s account.

A failed payment does not automatically cancel or terminate a membership and does not relieve the Member of their contractual payment obligations.

The Member is responsible for any applicable fees arising from failed, reversed, or disputed transactions where such fees are lawfully permitted.

9. Refunds and Credits

Membership fees are generally non-refundable once processed. However, Reset Studio may, in its sole discretion, consider a partial or full refund, credit, adjustment, or other accommodation on a case-by-case basis.

Any refund or credit granted by Reset Studio is discretionary and does not create an entitlement to receive refunds or credits in similar circumstances. The Studio reserves the right to determine the amount, form, and conditions of any refund or credit issued.

No refund or credit will be owed solely because a Member does not use some or all of the classes, services, or benefits included with their membership.

10. Changes to Memberships and Pricing

Reset Studio reserves the right to modify membership offerings, benefits, class schedules, service availability, operating hours, pricing, and other aspects of its services from time to time.

Where a material change affects an existing Member’s recurring membership, Reset Studio will provide notice where required by applicable law or where otherwise reasonably appropriate.

Membership pricing applicable to a Member will remain in effect according to the terms communicated at the time of purchase, subject to any promotional, introductory, founding, or other pricing conditions applicable to that membership.

11. Studio Schedule and Service Availability

Reset Studio does not guarantee that any particular class, instructor, treatment, appointment time, or service will always be available.

Class schedules, instructors, service availability, operating hours, and programming may change from time to time due to operational requirements, staffing, holidays, maintenance, unforeseen circumstances, or other factors.

Reset Studio will make reasonable efforts to provide advance notice of significant changes where practicable but will not be liable for changes to schedules or service availability that are made in good faith and within the Studio’s reasonable control.

12. Health, Safety and Participation

Members and Clients are responsible for determining whether they are physically and medically capable of participating in any class, treatment, wellness service, or other activity offered by Reset Studio.

Certain services may involve physical exertion, heat, cold exposure, equipment, skin treatments, body treatments, or other activities that may carry inherent risks. Members must disclose relevant information requested during intake or consultation and must follow all instructions provided by Reset Studio personnel.

Reset Studio reserves the right to refuse or discontinue a service where, in the reasonable judgment of the Studio or its personnel, continuing the service may present a health or safety concern.

Participation in any Reset Studio service is voluntary, and Members acknowledge that they are responsible for informing the Studio of any condition, limitation, medication, allergy, injury, or other circumstance that may reasonably affect their ability to participate safely.

13. Assumption of Risk and Liability

To the fullest extent permitted by applicable law, Members and Clients acknowledge that participation in wellness, fitness, Pilates, contrast therapy, body treatments, acupuncture, aesthetic services, and other activities offered by Reset Studio involves inherent risks, including the possibility of injury, discomfort, adverse reactions, or other unexpected outcomes.

By participating in such services, Members voluntarily assume the ordinary and inherent risks associated with those activities.

To the fullest extent permitted by law, Reset Studio, its owners, directors, officers, employees, contractors, instructors, practitioners, and representatives shall not be liable for injury, loss, damage, expense, or other claim arising from participation in its services except to the extent such liability cannot lawfully be excluded or limited.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

14. Personal Property

Members are responsible for their personal belongings while attending Reset Studio. The Studio is not responsible for lost, stolen, or damaged personal property, including items left in lockers, changing areas, treatment rooms, studio spaces, or other areas of the premises.

15. Account Information

Members are responsible for maintaining accurate and current information associated with their account, including contact information and payment details.

Members agree to promptly update their information when circumstances change. Reset Studio is not responsible for missed communications, failed notifications, or payment issues resulting from inaccurate or outdated account information provided by the Member.

16. Conduct and Studio Policies

Members and Clients are expected to conduct themselves respectfully and appropriately toward Reset Studio employees, instructors, practitioners, contractors, and other Members.

Reset Studio reserves the right to suspend or terminate access to its facilities or services where an individual engages in abusive, threatening, discriminatory, disruptive, unsafe, fraudulent, or otherwise inappropriate conduct.

Such action may be taken where reasonably necessary to protect the safety, wellbeing, privacy, or experience of Members, staff, practitioners, or the Studio.

17. Privacy

Reset Studio collects, uses, stores, and discloses personal information in accordance with its Privacy Policy, which forms part of these Terms.

By using Reset Studio’s services, Members acknowledge that they have had an opportunity to review the Privacy Policy and consent to the collection, use, and disclosure of personal information as described therein and as permitted or required by applicable law.

18. No Waiver

A failure by Reset Studio to enforce any provision of these Terms on one occasion does not constitute a waiver of its right to enforce that provision or any other provision in the future.

Any waiver must be expressly provided by Reset Studio in writing to be effective.

19. Severability

If any provision of these Terms is determined by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision will be severed or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

20. Amendments to These Terms

Reset Studio reserves the right to amend these Terms from time to time to reflect changes in its services, operations, membership structures, or applicable legal requirements.

Where required by law, Members will be provided with notice of material amendments. Continued use of Reset Studio services following the effective date of any amended Terms constitutes acceptance of the revised Terms to the extent permitted by law.

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable in the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute arising in connection with these Terms shall be subject to the jurisdiction of the courts and tribunals having authority in Ontario, subject to any mandatory rights or remedies available to a Member under applicable law.

22. Entire Agreement

These Terms, together with the applicable Membership Cancellation Policy, Privacy Policy, booking policies, waivers, membership agreement, and any other written terms expressly incorporated by reference, constitute the agreement between the Member and Reset Studio with respect to the subject matter addressed herein.

Where there is a conflict between these Terms and a specific written membership agreement entered into between Reset Studio and a Member, the specific membership agreement will govern to the extent of the conflict.

23. Acknowledgment and Acceptance

By purchasing or maintaining a membership, booking or attending a class, appointment, treatment, or other service, the Member acknowledges that they have read and understood these Terms and agree to be legally bound by them.

The Member further acknowledges that they are responsible for reviewing the terms applicable to their membership and individual bookings and for providing accurate account and payment information.

Reset Studio recommends that Members retain a copy of these Terms for their records.
